Terms of service

Numerio helps you collect and organise purchase invoices from your mailbox so they are ready for your accountant — the service does not replace an accountant and makes no tax or accounting decisions for you. Numerio currently runs as a pilot programme: access is granted on request, the service is free during the pilot period (unless separately agreed otherwise), and you can disconnect mailbox access at any time. This summary is not legally binding — the binding text is below.
1. Who we are and who these terms apply to
These terms of service (the Terms) are set by MB „Blue age lab", company registration number 306656523, VAT number LT100016571516, registered office at Saulėtekio al. 15-1, LT-10224 Vilnius, Lithuania (hereinafter — Numerio or we). The Terms apply to use of the numerio.ai service (the Service).
By registering for or using the Service, you (the Customer or you) agree to these Terms.
2. What the Service is
Numerio is a purchase-invoice collection and control tool for small businesses. The Service:
- automatically finds purchase-invoice-related emails in your connected mailbox (read-only access);
- automatically extracts their key data (supplier, amount, date, invoice number and so on), which you (or a member of your team) review and confirm;
- lets you upload bank statement files so invoices can be matched against payments made;
- prepares a package of confirmed invoices for your accountant — a summary spreadsheet, the original documents and a list of exceptions.
What the Service does not do — it is important that you understand this before you start using it:
- Numerio does not replace an accountant and takes no tax, accounting, filing or legal decisions. All such decisions are made by you or your accountant.
- Numerio never connects directly to a bank account and performs no payment actions — it works only with the bank statement files you upload yourself.
- Numerio generates and sends no accountant package without an explicit act on your part — you always generate the package yourself, by deliberately pressing the relevant button.
3. Pilot-programme terms
The Service is currently provided in the form of a pilot programme:
- access to the Service is granted on request and at our discretion;
- during the pilot period the Service is provided free of charge, unless otherwise agreed in writing (including by email) with the individual Customer;
- the prices shown on the
/pricingpage are indicative and reflect the pricing planned for after the pilot period — they do not by themselves create any payment obligation for pilot participants; - before real, live company data is connected, we expressly discuss and confirm data storage and use terms with each pilot participant — see section 6 of the Privacy Policy;
- during the pilot programme functionality, the interface and scope may change faster than in an ordinary commercial service; we will notify you by email of material changes.
4. Account and access
- To use the Service you sign in through a Google account.
- You are responsible for the security of your account credentials and for any actions taken through your account.
- If you suspect unauthorised access to your account, notify hello@numerio.ai without delay.
5. Acceptable use
In using the Service, you undertake:
- not to connect mailboxes or data sources you are not entitled to control;
- not to use the Service for unlawful activity or to attempt to circumvent its security measures;
- not to attempt to access other Customers' data or otherwise compromise the integrity of the system;
- not to upload documents or data whose content rights do not belong to you or whose upload is prohibited by law.
If these conditions are breached, we may restrict access to the Service temporarily or permanently.
6. Mailbox access and disconnection
By connecting Gmail or iCloud Mail you grant Numerio read-only access, for the purpose of detecting purchase-invoice-related emails. Numerio cannot send, delete or edit mail on your behalf.
You may disconnect a mailbox at any time in your account settings. When you do:
- Numerio starts no further mail checks;
- if it was a Gmail account, Numerio's access through Google is revoked, which invalidates the access token we held, and we delete it from our system once the revocation is confirmed;
- if it was iCloud Mail, Numerio immediately deletes the access password it held from our system and shows you how to revoke the password itself at account.apple.com (because Apple gives us no way to revoke it remotely);
- data already collected and confirmed in the Numerio system before disconnection (for example invoices already processed) remains in your workspace until you delete it — disconnecting a mailbox does not destroy the history collected earlier.

7. Data ownership
Your documents (received original invoices, the bank statements you upload) and the data extracted from them belong to you. Numerio processes them only in order to provide the Service and acquires no ownership rights in this content. Once you delete your workspace, you may require Numerio to remove the data associated with it in accordance with section 6 of the Privacy Policy.
8. Service availability
The Service is provided at pilot stage, and accordingly:
- we give no specific uptime guarantee or service level agreement (SLA);
- planned maintenance interruptions are possible, of which we give advance notice where feasible;
- we make efforts to ensure that errors and failures are detected, logged and corrected with no invoices lost — but the fact of a failure does not by itself create liability for Numerio beyond the limits set out in section 9 of these Terms.
9. Limitation of liability
- Numerio aims to ensure the accuracy of automated data extraction, but we are not liable for accounting, tax or legal decisions taken on the basis of information presented by the Service before you or your accountant have confirmed it.
- To the extent permitted by applicable law, Numerio's liability for direct damage arising from use of the Service during the pilot period is limited to the amount the Customer has paid for the Service in the preceding 12 months (and where the Service is provided free of charge, liability is limited to the minimum limit permitted by applicable law).
- Numerio is not liable for indirect losses (lost revenue, data loss caused by third-party actions and the like), except where the damage arose from our intent or gross negligence.
- This section does not apply to, and does not limit, liability in cases where limitation is prohibited by mandatory Lithuanian or European Union law (for example consumer-protection rules where the Customer is a consumer, or liability for injury to life or health).
10. Changes to these Terms
We may update these Terms, particularly as the Service moves from pilot stage to commercial operation. We will notify you of material changes by email or through the Service interface before they take effect. Continued use of the Service after the changes take effect constitutes agreement to the new Terms.
11. Governing law and dispute resolution
These Terms are governed by the law of the Republic of Lithuania. Any disputes arising out of these Terms or the use of the Service shall be resolved by negotiation and, failing agreement, in the courts of the city of Vilnius, unless mandatory rules of law provide otherwise (for example the right of a consumer, as a natural person, to bring proceedings in the courts of their place of residence).
